You have found a few potential investors that are willing to bet on your venture: they’ve told you how much they would be willing to invest but subject to the positive outcome of the Due Diligence. What can you expect from this process?
Well, you should have already done your own internal due diligence, or sell-side due diligence. After all, when you invite someone into your home, you tidy it up before guests show up, not when they are already sitting on your sofa.
WHAT TO INCLUDE IN THE DATA ROOM
You should have gathered in one place all the relevant information, and this oftentimes includes EVERYTHING. Which information would you store in your digital or paper archives if it’s not relevant to the life of your company? But this doesn’t mean that you should just dump everything in one folder: all the files should be properly named and ordered to facilitate their consultation. In truth, your records should already be like this but, if they are not, just take this opportunity to change approach to your administrative duties…
TIDY UP AND MAKE ORDER
Once you have everything in order, you can start uploading your files into a protected virtual data room, where your consultants and potential investors will be able to access it after proper identification.
